Terms of Use for Wine Services

HEY WINOS - TERMS OF USE

Effective date: June 1st, 2026

These Terms of Use (“Terms”) govern your access to and use of HeyWinos.com (the “Site”) and any content, features, reports, consultations, or services made available by Hey Winos (“Hey Winos,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Eligibility and Responsible Use

You must be legally capable of entering a binding agreement. Any alcohol-related Services are intended only for persons age 21 or older. You agree to use the Site lawfully and not to interfere with its operation, attempt unauthorized access, introduce malicious code, scrape or harvest data without permission, impersonate another person, or use the Site to violate alcohol, shipping, consumer-protection, intellectual-property, privacy, or other laws.

2. Informational Content; No Professional Guarantee

Site content and general communications are provided for informational and educational purposes. Wine values, market demand, drinking windows, provenance assessments, condition observations, investment considerations, and recommendations involve judgment and may change. They are estimates or opinions—not guarantees of authenticity, condition, marketability, sale price, future value, investment return, or insurance coverage. Nothing on the Site is legal, tax, accounting, securities, insurance, medical, or other regulated professional advice. Consult an appropriate licensed professional regarding those matters.

3. Consulting Engagements

A Site inquiry does not create a client, fiduciary, agency, brokerage, consignment, partnership, or other professional relationship. Specific Services, fees, commissions, reimbursable expenses, timing, deliverables, custody terms, insurance responsibility, cancellation rights, and other project terms will be governed by a separate written proposal, engagement letter, invoice, or agreement. If a separate signed agreement conflicts with these Terms, the signed agreement controls for that engagement.

4. Wine Transactions and Third Parties

Unless a separate written agreement expressly states otherwise, Hey Winos does not take title to wine, act as the licensed seller of record, guarantee payment by a buyer, guarantee performance by a seller, or provide shipping or storage as a common carrier or warehouse. We may introduce or assist you in working with wineries, retailers, auction houses, brokers, marketplaces, carriers, storage facilities, software providers, insurers, or other third parties. Their terms, fees, eligibility rules, licensing, privacy practices, and performance are their responsibility.

All parties remain responsible for complying with applicable age-verification, alcohol licensing, direct-shipping, import/export, tax, storage, insurance, and transfer laws. We may decline or stop assistance if a proposed transaction appears unlawful, unsafe, misleading, or inconsistent with our policies.

5. Appraisals, Collection Reports, and Reliance

Any appraisal, valuation, inventory, storage assessment, drinking-window estimate, market analysis, or the Hey Winos Collection Report™ if prepared for the identified client, stated purpose, and effective date using information reasonably available at that time. Market prices and bottle condition can change rapidly. Unless expressly agreed in writing, no report constitutes a certified appraisal for tax, litigation, charitable-contribution, lending, or regulatory purposes; no third party may rely on it; and no update is promised. The client is responsible for supplying accurate, complete information and reviewing inventories and reports promptly for omissions or errors.

6. Client Property, Access, and Risk

When Services occur at a residence, cellar, restaurant, storage facility, or other premises, you are responsible for providing safe, lawful access and disclosing hazards. Unless a separate written agreement states otherwise, you retain responsibility for insurance, security, environmental conditions, and risk of loss involving wine and other property. Any temporary custody, packing, transport coordination, keys, access codes, or handling obligations must be documented in writing before work begins.

7. Intellectual Property

The Site and its text, photographs, graphics, logos, designs, reports, templates, selection and arrangement, and other content are owned by or licensed to Hey Winos and are protected by intellectual-property laws. “Hey Winos,” “The Hey Winos Collection Report,” associated logos, and related branding are trademarks or service marks of their respective owner. Subject to these Terms, you receive a limited, revocable, nonexclusive, nontransferable license to view the Site for personal or internal business use. You may not copy, republish, sell, modify, distribute, create derivative works from, or commercially exploit Site content without prior written permission, except as allowed by law.

8. User Submissions and Feedback

You retain ownership of information and materials you submit. You grant us a limited license to use, reproduce, store, transmit, and modify them as reasonably necessary to respond to you and provide, secure, and improve the Services. You represent that you have the right to provide them and that they do not violate law or third-party rights. If you provide ideas or feedback about the Site or Services, we may use them without restriction or compensation, provided we do not publicly identify you without permission.

9. Privacy

Our Privacy Policy, posted separately on the Site, explains how we collect, use, and disclose personal information and is incorporated into these Terms by reference.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” HEY WINOS DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEY WINOS AND ITS OWNER, AFFILIATES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, LOSS OF GOODWILL, DIMINUTION IN WINE VALUE, OR LOSS ARISING FROM THIRD-PARTY SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY ARISING FROM THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US, IF ANY, FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT. THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT LAWFULLY BE LIMITED.

12. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Hey Winos and its owner, affiliates, contractors, and service providers from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys’ fees arising from your unlawful use of the Site, your violation of these Terms, your submissions, your infringement of third-party rights, or inaccurate information you provide. This obligation does not apply to the extent a claim results from our negligence, willful misconduct, or violation of law.

13. Suspension and Termination

We may suspend or terminate access to the Site if we reasonably believe you violated these Terms, created risk or legal exposure, or interfered with the Site. Provisions that by their nature should survive termination will survive, including intellectual-property, disclaimer, liability, indemnification, and dispute provisions.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws rules. Except for matters eligible for small-claims court or requests for temporary injunctive relief, the state and federal courts located in Douglas County, Colorado will have exclusive jurisdiction, and you consent to personal jurisdiction and venue there. Nothing in these Terms waives rights or remedies that cannot be waived under applicable consumer law.

15. Changes to the Site or Terms

We may modify the Site and these Terms from time to time. Updated Terms will be posted with a revised effective date. Changes apply prospectively when posted unless law requires additional notice or consent. Continued use after the effective date constitutes acceptance of the updated Terms.

16. General Terms

These Terms and any applicable written service agreement constitute the entire agreement regarding the Site. If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a business transaction. Headings are for convenience only. Electronic communications and signatures may satisfy writing requirements to the extent permitted by law.
